  1. Scope of Agreement

    These Terms and Conditions (“Agreement”) apply to all services provided by Pascale Exhibits, including but not limited to:

  • Custom trade show booth design and production
  • Modular exhibit system rentals
  • Large format graphic design and printing
  • On-site installation and dismantling
  • Storage and asset management
  • Logistics and event coordination

   

     By engaging with us via a signed proposal, estimate, online inquiry, or payment, you (“Client,” “you,” or “your”) agree to be bound by       the terms in this Agreement. If you do not agree, please do not use our services.

 

  1. Quotes, Proposals, and Acceptance
  • All quotes are valid for 30 calendar days unless otherwise specified in writing.
  • A quote or proposal becomes a binding agreement upon written acceptance, purchase order, or initial payment.
  • Any revisions to the original scope of work must be made in writing and approved by both parties.
  • Budgetary estimates are non-binding and do not constitute a formal quote.

 

  1. Project Timeline and Client Responsibilities

    Client agrees to:

  • Provide accurate and complete specifications, logos, artwork, and files in the required formats
  • Approve all proofs, renderings, and drawings before production
  • Respond in a timely manner to questions or approval requests
  • Coordinate with venue management and provide booth location, event dates, and restrictions

    Delays in approvals or asset delivery may result in production or installation delays for which we are not responsible.

 

  1. Design and Artwork
  • Design concepts remain the intellectual property of Pascale Exhibits unless purchased or licensed separately.
  • Artwork proofs must be approved in writing; we are not responsible for errors in content, spelling, or image resolution after approval.
  • Large format printing specifications must be followed; files submitted incorrectly may incur correction or reproofing fees.

 

  1. Payment Terms
  • A 50% deposit is required to initiate custom fabrication or printing projects.
  • The remaining balance is due prior to delivery, shipment, or installation, unless otherwise agreed upon.
  • Payments may be made via ACH, credit card, wire transfer, or company check.
  • Invoices not paid within terms are subject to a 1.5% monthly interest charge and may result in suspension of services.

    We reserve the right to hold delivery or retrieve rented property for nonpayment.

 

  1. Rental Terms and Conditions
  • All rental items remain the sole property of Pascale Exhibits.
  • Client is responsible for all rented equipment from the time of delivery until it is returned or retrieved.
  • Loss, damage, or destruction of rental items will be billed at full replacement value.
  • Rented exhibits may not be altered, painted, or structurally modified.
  • Rental items must be returned clean and in original condition. Fees may apply for excessive wear, cleaning, or late returns.

 

  1. Cancellations, Refunds & Changes

     Custom Fabrication and Graphics:

  • Orders canceled prior to production may incur administrative and design charges.
  • Once production begins, all work performed, and materials purchased are non-refundable.
  • Completed custom items are non-returnable and non-refundable.

 

     Rentals:

  • Rental cancellations made 14 or more business days before the scheduled delivery date will receive a full refund, less design or administrative fees.
  • Cancellations made in less than 14 business days before delivery may be subject to full rental cost.

    Change orders may affect project cost and timeline. We will notify you of cost and delivery impacts before proceeding.

 

  1. Shipping, Delivery, and Installation
  • We are not liable for shipping delays caused by carriers, customs, weather events, or miscommunication from the venue.
  • All shipping is FOB (Freight On Board) unless otherwise agreed in writing.
  • Delivery and installation timelines are estimates. While we strive for punctuality, we are not liable for missed deadlines caused by third-party factors.
  • Client is responsible for inspecting shipments upon delivery and must report any discrepancies or damages within 48 hours.

 

  1. Storage and Asset Management
  • We offer storage of client-owned exhibits under a separate storage agreement.
  • While reasonable care is taken, we are not liable for damage or loss caused by fire, water, theft, or acts of God unless insurance coverage is explicitly arranged.
  • Unpaid storage fees may result in a lien and disposal of stored items after 60 days of nonpayment.

 

  1. Intellectual Property and Marketing Rights
  • Client retains ownership of all trademarks, artwork, and brand materials provided.
  • We reserve the right to photograph and display finished projects for our portfolio, social media, or marketing, unless a written NDA prohibits this.
  • Any design, fabrication, or custom engineering created by us remains our intellectual property unless purchased outright by the Client.

 

  1. Insurance and Liability
  • We carry general liability insurance and worker’s compensation for all on-site work.
  • Clients are responsible for obtaining event liability insurance, including damage waivers or insurance certificates required by venues.
  • We are not responsible for damage caused by third parties (e.g., show labor, venue staff, shipping personnel).

 

  1. Limited Warranty
  • Custom exhibits are warrantied against material and structural defects for 90 days from delivery.
  • Printed graphics are warrantied for 30 days under normal indoor use.
  • This warranty does not cover damage from misuse, improper installation by third parties, transport, water exposure, or wear and tear.

 

  1. Limitation of Liability

  In no event shall Pascale Exhibits be liable for:

  • Consequential, indirect, or incidental damages
  • Lost sales, event fees, or opportunity costs
  • Client negligence, improper use, or third-party acts

    Our total liability shall not exceed the fees paid to us for the product or service giving rise to the claim.

 

  1. Force Majeure

  We are not liable for delays or failure to perform due to events beyond our reasonable control, including:

  • Natural disasters
  • Labor strikes
  • Pandemic restrictions
  • War or terrorism
  • Utility failures or shipping disruptions

 

  1. Governing Law and Dispute Resolution

  This Agreement shall be governed by the laws of the State of Florida in the event of a dispute:

  • Both parties will attempt to resolve the issue in good faith
  • If unresolved, disputes shall be settled by binding arbitration in Sarasota, Florida
  • Each party will bear its own legal fees unless otherwise determined

 

  1. Entire Agreement and Modifications

  This document constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and                 negotiations. No amendment or modification is valid unless made in writing and signed by both parties.
